YottaBot Customer Terms

These YottaBot Customer Terms govern access to and use of YottaBot products and services, including the YottaBot cloud service ("Cloud Service") and the self-hosted YottaBot software ("Self-hosted Software"). "YottaBot," "we," "us," and "our" mean YottaBot Inc., a Delaware corporation. "Customer," "you," and "your" mean the company or other legal entity that accepts these Terms, signs an ordering document, receives a YottaBot license, or uses the Services.

These Terms are a baseline customer agreement for YottaBot. If Customer and YottaBot sign a customer-specific amendment, ordering document, statement of work, data processing addendum, or similar written agreement, that signed document controls only where it directly conflicts with these Terms.

1. Offerings

YottaBot is offered in two deployment modes:

  • Cloud Service. YottaBot hosts and operates the platform for Customer.
  • Self-hosted Software. Customer installs and operates YottaBot in a Customer-controlled Kubernetes cluster, cloud account, VPC, data center, or other environment approved by YottaBot.

The Services include the Cloud Service, Self-hosted Software, Documentation, support, maintenance, professional services, and related YottaBot offerings.

2. Definitions

Customer Content means prompts, instructions, files, attachments, records, logs, outputs, agent definitions, workflow definitions, policies, approval records, tool payloads, connector configuration, resource metadata, and other content or data submitted to, stored in, or processed by the Services by or for Customer.

Documentation means YottaBot's generally available technical, product, security, deployment, and support documentation.

YottaBot Technology means the Services, Software, Documentation, code, product designs, user interfaces, workflows, templates, prompts, model-routing logic, policies, schemas, telemetry formats, diagnostics, tooling, know-how, and other technology owned or controlled by YottaBot.

3. Eligibility and Authority

Customer may use the Services only for business or organizational purposes. Individual users must be at least 18 years old and must be authorized by Customer to use the Services.

The person accepting these Terms or signing an ordering document represents that they have authority to bind Customer and to administer Customer's users, agents, data sources, tools, credentials, policies, and deployment environments.

4. Cloud Service Access

Subject to these Terms, the applicable ordering document, and payment of all fees, YottaBot grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Cloud Service for Customer's internal business operations.

YottaBot is responsible for operating the Cloud Service environment that YottaBot provides. Customer is responsible for Customer Content, users, agents, workflows, prompts, approvals, integrations, model-provider choices, downstream system permissions, and all activity occurring under Customer's account.

YottaBot may update, patch, improve, modify, or discontinue Cloud Service features from time to time, provided that YottaBot does not materially reduce the core functionality Customer purchased during the active subscription term without providing a reasonable alternative or remedy.

Availability, incident response, support levels, service credits, if any, and maintenance windows apply only if stated in a written agreement.

5. Self-hosted Software License

Subject to these Terms, the applicable ordering document, and payment of all fees, YottaBot grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the subscription term to install and use the Self-hosted Software only for Customer's internal business operations and only within the licensed deployment scope stated in writing.

The licensed deployment scope may include limits or entitlements for clusters, instances, environments, products, agents, users, workloads, features, subscription term, or other metrics. If a written ordering document does not state a metric, Customer may not infer an unlimited right except where YottaBot expressly says the metric is unlimited.

Customer may make a reasonable number of internal copies of the Self-hosted Software, images, Helm charts, license files, and Documentation only as needed to install, back up, restore, test, and operate the licensed deployment.

The Self-hosted Software is licensed, not sold. YottaBot and its licensors reserve all rights not expressly granted.

6. Digital License Keys and Verification

Self-hosted subscriptions are controlled by a digital license provided by YottaBot. The license may be a cryptographically signed token, file, key, or similar artifact and may identify Customer, licensed products, licensed deployment mode, allowed environment, license ID, validity window, support tier, and usage entitlements.

Customer must install and maintain a valid license for protected product functionality. YottaBot may replace a license if a renewal, entitlement change, security event, or support request requires a new license. Unless YottaBot says otherwise in writing, activating a replacement license supersedes the prior license.

The standard Self-hosted Software does not send Customer Content, prompts, files, outputs, connector payloads, user directory data, or logs to YottaBot servers merely because it is installed. It may communicate with YottaBot solely to verify license status, entitlement, version compatibility, renewal status, or revocation status, unless Customer separately enables remote support, hosted features, optional telemetry, model-provider routing, or sends support materials to YottaBot.

License verification metadata may include license ID, customer or account identifier, product version, deployment or instance identifier, entitlement status, verification timestamp, source IP address, and operational metadata needed to respond to the verification request. The Privacy Policy describes YottaBot's handling of that data.

7. Self-hosted Customer Responsibilities

Unless YottaBot expressly agrees otherwise in writing, Customer is responsible for:

  • providing, securing, monitoring, backing up, and maintaining the Kubernetes cluster, cloud account, network, storage, database, identity provider, secrets store, certificate management, ingress, and observability stack used for the self-hosted deployment;
  • installing supported versions and applying updates, patches, and security fixes made available by YottaBot;
  • configuring SSO, SCIM, users, groups, agents, policies, approvals, credentials, integrations, model routes, and downstream permissions;
  • complying with the minimum technical specifications in the Documentation;
  • preserving audit logs and records needed to confirm license compliance and investigate security or support issues; and
  • ensuring that no person or system accesses the Self-hosted Software outside the licensed scope.

YottaBot is not responsible for Customer's infrastructure, third-party provider outages, unsupported modifications, failure to apply patches, insufficient cluster capacity, misconfigured identity providers, customer-supplied secrets, or downstream systems that Customer connects to the Services.

8. License Restrictions

Customer must not, and must not permit any user, contractor, affiliate, or third party to:

  • sell, resell, rent, lease, lend, sublicense, assign, distribute, transfer, or provide access to the Services except as expressly allowed in writing;
  • make the Services available for the benefit of a third party, including as a managed service, service bureau, outsourcing, timesharing, training, or hosting service;
  • copy the Software except as expressly allowed in Section 5;
  • modify, adapt, translate, create derivative works of, or fork the Software except as expressly permitted in writing;
  • reverse engineer, decompile, disassemble, decode, or attempt to discover source code, underlying ideas, algorithms, architecture, model-routing logic, or non-public interfaces, except to the extent applicable law prohibits this restriction;
  • remove, alter, or obscure proprietary notices, license checks, entitlement controls, audit controls, security controls, or usage controls;
  • bypass authentication, authorization, audit, rate-limit, gateway, credential, license, or safety controls;
  • use the Services to build, train, benchmark, improve, or provide a competing product or service;
  • publish benchmarks, availability statistics, penetration-test results, or performance comparisons without YottaBot's prior written approval;
  • access the Services to monitor availability, performance, or functionality for competitive purposes; or
  • use the Services in violation of law, third-party rights, third-party terms, the Documentation, these Terms, or a written customer agreement.

9. Contractors and Affiliates

Customer may allow its employees and contractors to use the Services for Customer's internal business operations, provided they are bound by obligations consistent with these Terms and Customer remains responsible for their acts and omissions.

Customer affiliates may use the Services only if YottaBot expressly allows affiliate use in writing. If affiliate use is allowed, Customer is responsible for affiliate compliance unless the affiliate signs its own agreement with YottaBot.

10. Customer Content

As between the parties, Customer owns Customer Content. Customer grants YottaBot the limited rights needed to provide, operate, secure, monitor, troubleshoot, support, and improve the Services, comply with law, enforce agreements, and perform under any written agreement with Customer.

For the Cloud Service, Customer Content may be processed in YottaBot-managed cloud infrastructure and by model providers, integrations, and subprocessors enabled for Customer.

For the Self-hosted Software, Customer Content remains in Customer's environment unless Customer sends it to YottaBot, enables a hosted feature, configures a provider route that leaves Customer's environment, grants YottaBot remote access, or otherwise instructs the Services to transmit Customer Content outside Customer's environment.

Customer is responsible for having all rights, notices, consents, permissions, and legal bases needed to provide Customer Content to the Services and to use outputs.

11. Feedback and Improvements

Customer may provide comments, ideas, suggestions, enhancement requests, support reports, bug reports, feature requests, workflows, implementation lessons, or other feedback about the Services ("Feedback"). Customer grants YottaBot a worldwide, perpetual, irrevocable, royalty-free right to use, disclose, reproduce, modify, create derivative works from, distribute, commercialize, and otherwise exploit Feedback without restriction or compensation.

YottaBot owns all feature updates, bug fixes, diagnostics, documentation, templates, workflows, product ideas, generalized learnings, and other improvements developed from or informed by Feedback, support interactions, implementation work, or Customer's use of the Services, except for Customer Content and Customer's confidential information.

No professional services, support, debugging, implementation work, or Feedback creates work-made-for-hire for Customer or assigns YottaBot Technology to Customer unless a signed agreement expressly says so.

12. AI Features and Outputs

The Services may use artificial intelligence, machine learning, model routing, retrieval, tool execution, and automation. Outputs can be incomplete, inaccurate, outdated, duplicative, offensive, unsafe, or unsuitable for a particular use.

Customer is responsible for evaluating outputs before using them, especially where an output may affect rights, safety, finances, employment, access to services, regulated operations, security posture, infrastructure changes, or third-party systems.

Customer must maintain human review and appropriate controls for material, regulated, high-impact, security-sensitive, or legally significant decisions. The Services do not provide legal, medical, financial, investment, tax, employment, security, compliance, or other professional advice.

YottaBot does not use Customer Content to train or fine-tune models for other customers unless Customer separately instructs YottaBot to do so in writing. Model-provider handling of prompts, outputs, and related metadata is governed by the provider configuration, provider terms, and any written agreement with Customer.

13. Third-party Services

The Services may interoperate with third-party systems selected or enabled by Customer, including cloud providers, identity providers, source-code hosts, ticketing tools, messaging tools, observability tools, databases, model providers, and other services.

Customer is responsible for third-party accounts, credentials, permissions, terms, privacy notices, security settings, fees, and content. YottaBot is not responsible for third-party services, third-party content, third-party outages, or Customer's instructions to third-party services.

The Software may include third-party or open-source components. Those components are licensed under their own terms. If third-party component terms conflict with these Terms for that component, the third-party component terms control only for that component.

14. Acceptable Use

Customer may not use the Services to:

  • access, scan, test, exploit, disrupt, or interfere with any system without authorization;
  • extract, harvest, exfiltrate, or misuse credentials, tokens, keys, secrets, personal data, regulated data, confidential information, or proprietary information;
  • deploy malware, phishing, spam, denial-of-service traffic, deceptive content, or abusive automation;
  • direct agents at systems, repositories, accounts, networks, people, or data sources that Customer is not authorized to use;
  • create or operate unlawful surveillance, profiling, discrimination, manipulation, weapons, or public-safety systems;
  • process payment-card data, protected health information, government classified information, export-controlled data, children's data, or other regulated data unless a written agreement expressly permits that use; or
  • violate law, third-party rights, third-party platform terms, or YottaBot's reasonable security instructions.

15. Security and Suspension

YottaBot uses reasonable technical and organizational measures designed to protect the Services. Customer is responsible for configuring and securing its accounts, users, agents, workflows, approvals, integrations, credentials, and self-hosted environments.

YottaBot may suspend or restrict access to the Services, a tenant, an agent, a workflow, an integration, or a credential if YottaBot reasonably believes that continued use threatens security, availability, integrity, lawful operation, license compliance, another customer, Customer, a third-party system, or YottaBot.

Where practicable, YottaBot will notify Customer and work with Customer to resolve the issue. Emergency security actions may occur without advance notice.

16. Support and Professional Services

YottaBot will provide the support level stated in writing for Customer. If no support level is stated, support is provided through support@yotta.bot during YottaBot's regular business hours on a commercially reasonable basis.

Support response times, service levels, named Slack channels, implementation assistance, engineering support, on-call coverage, on-site services, and professional services apply only if stated in writing. Unless a written agreement says otherwise, support response times measure initial response only and do not guarantee resolution.

Customer must provide timely access to relevant logs, error messages, configuration details, reproduction steps, personnel, and systems reasonably needed for YottaBot to provide support. Customer should not send passwords, private keys, API keys, access tokens, production secrets, payment-card data, protected health information, or other highly sensitive information through email, Slack, screenshots, support tickets, or recordings unless the parties agree to a secure handling method.

17. Fees, Taxes, Records, and Audit

Customer will pay the fees stated in writing. Unless YottaBot expressly agrees otherwise in writing, fees are due in advance, non-cancelable, and non-refundable.

Fees do not include taxes, duties, levies, bank charges, cloud-provider costs, third-party provider costs, model-provider costs, data-egress charges, or Customer infrastructure costs. Customer is responsible for those amounts except for taxes based on YottaBot's net income.

Customer must keep accurate records reasonably needed to confirm compliance with the licensed scope. On reasonable notice, YottaBot may request a written certification of compliance or review records necessary to verify license usage. Any audit must be conducted in a manner designed to minimize disruption and protect Customer confidential information.

18. Confidentiality

Each party may receive confidential information from the other. The receiving party must use confidential information only to perform under the applicable agreement, protect it with reasonable care, and disclose it only to personnel, advisors, contractors, service providers, and affiliates who need to know it and are bound by confidentiality obligations.

Confidential information does not include information that is publicly available without breach, already known without restriction, independently developed without use of the disclosing party's confidential information, or rightfully received from another source. A party may disclose confidential information if required by law, provided it gives notice when legally permitted.

19. Warranties and Disclaimers

Each party represents that it has the authority to enter into the applicable agreement. YottaBot will provide the Services using reasonable skill and care.

Except as expressly stated in a written agreement, the Services, Software, Documentation, outputs, previews, betas, integrations, support, and professional services are provided "as is" and "as available." To the maximum extent permitted by law, YottaBot disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, and accuracy of outputs.

20. Indemnification

Customer will defend and indemnify YottaBot from third-party claims arising from Customer Content, Customer-controlled agents or workflows, Customer integrations, Customer's self-hosted environment, Customer's violation of these Terms, or Customer's unlawful or unauthorized use of the Services.

Any YottaBot indemnity for intellectual-property infringement, security incidents, regulated data, or other enterprise allocation of risk must be stated in a written agreement.

21. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of revenue, goodwill, data, business, anticipated savings, or business interruption, whether based on contract, tort, strict liability, or another theory.

Except for payment obligations, confidentiality obligations, infringement or misappropriation of intellectual property, misuse of credentials, violation of license restrictions or acceptable-use restrictions, indemnification obligations, or liability that cannot legally be limited, each party's aggregate liability is limited to the amounts paid or payable by Customer to YottaBot for the Services giving rise to the claim during the 12 months before the event giving rise to liability.

22. Term and Termination

These Terms apply while Customer uses the Services or has an active written agreement with YottaBot. Either party may terminate a written agreement if the other party materially breaches and does not cure within 30 days after written notice, unless the written agreement sets a different cure period.

YottaBot may terminate or suspend immediately if Customer breaches license restrictions, infringes or misappropriates YottaBot Technology, creates a security risk, violates acceptable-use restrictions, fails to pay undisputed amounts when due, or uses the Services outside the licensed scope.

Upon termination or expiration, Customer must stop using the Services and Self-hosted Software, delete or return YottaBot confidential information, remove or destroy copies of the Software except archival copies required by law, and pay amounts owed. YottaBot will handle Customer Content after termination according to the Privacy Policy, retention settings, written agreements, and legal requirements.

Sections that by their nature should survive termination survive, including fees, taxes, records, confidentiality, intellectual-property rights, disclaimers, limitations of liability, indemnification, dispute resolution, and general provisions.

23. Export, Sanctions, and Government Use

Customer must comply with export-control, sanctions, anti-corruption, and other applicable laws. Customer may not use, export, re-export, or transfer the Services in violation of those laws or for prohibited end uses.

The Services are commercial products developed at private expense. Any use by or for the United States government is subject to the commercial license rights and restrictions in these Terms unless a signed government contract says otherwise.

24. Governing Law and Disputes

Unless a signed agreement says otherwise, these Terms are governed by Delaware law, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in Delaware for disputes arising from these Terms or the Services.

Before filing a claim, each party will try in good faith to resolve the dispute through executive escalation, except where urgent equitable relief is needed to protect confidential information, intellectual property, security, license compliance, or service integrity.

25. General

Customer may not assign these Terms or a written agreement without YottaBot's prior written consent, except to an affiliate or successor in connection with a merger, acquisition, reorganization, or sale of substantially all assets. YottaBot may assign these Terms to an affiliate or successor.

Neither party is responsible for delay or failure caused by events beyond its reasonable control. Notices must be sent according to the applicable written agreement or, if none exists, to the contact information used for Customer's account and to YottaBot at support@yotta.bot.

If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. These Terms, together with applicable written customer agreements, are the complete agreement for the Services they govern.
